Acceptance of Terms

By accessing the website at goodfellowbooks.autos, by submitting an inquiry through the contact form or by engaging Bookkeeping Goodfellow LLC to perform any service, a person agrees to be bound by these Terms of Service. This agreement applies to the client and to any person who acts on the behalf of the client in the course of the engagement.

The company may require a separate written engagement letter before certain services begin. Where a written engagement letter exists and conflicts with these terms, the engagement letter governs for that engagement, and these terms continue to apply to the use of the website and to any matter that the engagement letter does not address.

A person who does not accept these terms must not use the website or the services. Continued use of the website after a revision to these terms is posted constitutes acceptance of the revised terms.

Nature of the Services

Bookkeeping Goodfellow LLC provides bookkeeping and related financial services to small businesses and other clients. The services include Monthly Bookkeeping and Reconciliation, Payroll Processing, Sales Tax Filing, Accounts Payable and Receivable, Financial Statement Preparation and Business Advisory Sessions. The scope of each engagement is agreed in advance, and the company performs the agreed services with reasonable skill and care.

The company is a bookkeeping practice. It is not a law firm and it does not provide legal advice. It is not an investment adviser and it does not provide investment advice or manage investments. It is not an audit firm and it does not perform audits or attest engagements. Where a matter requires the services of an attorney, an investment adviser, an auditor or another licensed specialist, the client is responsible for engaging that specialist.

The company may coordinate with the client accountant, the client attorney or another adviser when the client authorizes that coordination, but the company does not thereby assume the role or the responsibilities of those advisers. Any recommendation that the company makes in an advisory session is a business suggestion grounded in the client records, and the client retains full responsibility for the decisions that the client makes.

Client Responsibilities

The client agrees to provide complete, accurate and timely information to the company. This includes bank and card statements, sales records, expense receipts, payroll details, employee information and any notices that the client receives from a tax authority. The quality of the finished books depends heavily on the quality of the source documents, and the company cannot reconcile what it has never been given.

The client agrees to give the company access to the accounts and the platforms that are needed for the engagement, such as the business bank, the credit card provider, the merchant processor and the accounting or payroll software in use. The client agrees to keep those credentials current and to notify the company promptly if access changes or if a suspected unauthorized use of an account occurs.

The client agrees to review the reports and the returns that the company produces and to raise any question within a reasonable time. The client is responsible for the final approval of any filing, any payment and any decision that is based on the work of the company. The client agrees to comply with all laws that apply to the client business, to maintain its own licenses and registrations and to inform the company of any change in business structure, ownership or the jurisdictions in which the client operates.

Engagement and Onboarding

An engagement begins when the company accepts the client and the client provides the access and the information that the company requires to start. During onboarding the company learns how the business earns and spends, builds a chart of accounts that reflects the business and arranges access to the relevant platforms. The company may decline an engagement for any lawful reason, including a conflict of interest, a lack of capacity or a request that falls outside the services that the company provides.

The client is asked to designate a point of contact who is authorized to provide instructions and to approve work. Instructions from a person who is not the designated contact may be declined until authority is confirmed. The company may record the scope, the fees and the schedule of an engagement in a written summary that both parties keep.

Onboarding may take longer than a normal month because historical books sometimes need to be rebuilt before current work can begin. The company will state any catch up requirement up front so that the client understands the sequence and the cost before the work proceeds.

Fees and Payment

Fees for the services are set out in the engagement summary or the engagement letter. Fees may be fixed for a defined scope or based on the volume of work. The company will explain the basis of the fee before the work begins and will seek approval before performing work that falls outside the agreed scope.

Invoices are issued on the schedule that is agreed in the engagement. Invoices are due on the stated terms, and the client agrees to pay in accordance with those terms. Late payment may result in the suspension of non urgent work, the withholding of deliverables and the recovery of reasonable costs that the company incurs in collecting an overdue amount, where the law allows such recovery.

Amounts that the company pays on the behalf of a client, such as filing fees or platform charges, may be billed to the client at cost. Fees may be adjusted at the start of a new period to reflect a change in the volume or the complexity of the work, and the company will give notice before a change in fee takes effect. A client who does not accept a fee change may end the engagement as described in these terms.

Turnaround and Deadlines

The company works to a schedule that reflects the rhythm of bookkeeping and the fixed dates that tax and payroll obligations impose. Monthly closes are typically completed within ten business days after the company receives the statements and the source documents, provided those materials arrive promptly. Payroll deadlines and sales tax filing dates are treated as fixed and are prioritized accordingly.

Turnaround times depend on the client as much as on the company. Late documents, incomplete records, unresolved bookkeeping questions and delays in approval all extend the time required to finish a period. The company will communicate a delay as soon as it becomes apparent and will propose a revised schedule.

The company is not responsible for a late filing, a penalty or an interest charge that results from information that the client provides late, from an instruction that the client gives late or from a circumstance that is outside the reasonable control of the company. Where the company causes a delay through its own error, it will work to correct the matter promptly and will discuss a fair remedy with the client.

Accuracy of Records

The company relies on the accuracy of the information that the client provides. The company applies reasonable checks and reconciles accounts against the ledger, but it does not independently verify every document and it does not audit the business of the client. Where the company notices an inconsistency, it will raise the matter with the client and will seek the information that is needed to resolve it.

The client is responsible for the completeness of the records that are handed to the company. If a document is missing or a transaction is misstated, the resulting reports can be affected even when the company has followed its procedures correctly. The company will correct a report when a later discovery shows that the underlying data was wrong, and the client agrees to cooperate in supplying the information that the correction requires.

Financial statements are prepared from the books that the company maintains. They are not an audit, a review or a compilation performed under any attestation standard, and they should not be represented as such to a third party. Where a third party requires an attestation, the client must engage an appropriate licensed firm.

Confidentiality

Bookkeeping Goodfellow LLC treats the information of a client as confidential. The company does not disclose client information to a third party except as described in these terms, as described in the Privacy Policy, as the client authorizes or as the law requires. Team members are bound to keep client information confidential as a condition of their work.

Where the company engages a service provider to support an engagement, the provider is bound by an agreement that limits the use of the information to the service that is performed and that requires reasonable safeguards. The company shares only the information that the provider needs to perform its function.

The obligation of confidentiality does not apply to information that is already public, that the client consents to disclose or that the company is legally required to reveal. The obligation continues after the end of an engagement for as long as the information remains confidential. These terms should be read together with the Privacy Policy, which describes the handling of personal information in greater detail.

Intellectual Property

The website, its text, its design, its graphics and the code that runs it are the property of Bookkeeping Goodfellow LLC and are protected by applicable intellectual property law. A visitor may view and may print a copy of the content for personal and internal business use, but may not reproduce, republish or distribute the content for commercial purposes without written permission.

The working papers, the templates, the checklists and the internal methods that the company uses to deliver its services remain the property of the company. The client owns the client data and the client records and receives a copy of the deliverables that the engagement produces. Nothing in these terms transfers ownership of the company working papers or of the client data beyond what is needed to deliver the service.

The names, the marks and the branding of the company may not be used in a way that suggests endorsement or affiliation without prior written consent. Third party marks that appear on the website belong to their respective owners.

Acceptable Use of the Website

A visitor agrees to use the website lawfully and not to interfere with its operation. A visitor may not attempt to gain unauthorized access to any part of the website or to any system that supports it, may not introduce malicious code and may not use automated means to harvest content or to place an unreasonable load on the service.

A visitor may not submit information that is false, that infringes the rights of another party or that is unlawful. The contact form is provided so that a visitor can reach the company about genuine business matters, and the company may disregard or block a submission that abuses the form.

The company may suspend or restrict access to the website for any person who violates these terms or who uses the website in a way that the company reasonably believes to be harmful. The company may take technical measures to protect the website and may cooperate with law enforcement where a serious violation occurs.

Third Party Services and Platforms

The delivery of the services may involve third party platforms such as accounting software, payroll systems, banking portals and document workspaces. The client authorizes the company to use these platforms on the behalf of the client for the engagement. The use of a platform is also subject to the terms of that platform, which the client accepts when the client signs up for or continues to use it.

The company is not responsible for an outage, a change, a defect or a fee that a third party platform introduces. Where a platform changes in a way that affects the engagement, the company will seek a workaround or will propose an alternative platform and will discuss any resulting change in cost with the client.

The website may contain links to third party sites. Those links are offered for convenience, and the company does not control the content or the practices of the linked sites. A visitor who follows a link is subject to the terms and the policies of the destination site.

No Professional Guarantee

The services are professional services delivered with reasonable skill and care, but no professional can guarantee a particular outcome. The company does not guarantee that a tax authority will accept a return exactly as filed, that a lender will approve a loan, that a business will achieve a financial result or that the books will be free of every immaterial difference.

Advisory sessions provide a considered business view based on the information that is available at the time. A recommendation may be affected by a change in law, in the market or in the circumstances of the client. The client makes the final decision and bears the final risk of the business choices that the client makes.

Any projection or estimate that the company discusses is an illustration and not a promise. Where the client intends to rely on a projection for a material decision, the client should seek additional advice from an appropriately licensed specialist.

Limitation of Liability

To the extent that the law allows, the total liability of Bookkeeping Goodfellow LLC for a claim that arises out of an engagement is limited to the fees that the client paid to the company for the service that gave rise to the claim. This limit does not apply where the law forbids such a limit or where the conduct of the company is of a kind for which liability cannot be limited.

To the extent that the law allows, the company is not liable for indirect, incidental, special or consequential loss, such as lost profit, lost opportunity, a penalty imposed because of information that the client provided late or damage to reputation. The company is not liable for a loss that is caused by the act or the omission of a third party, by a force majeure event or by information that the client provided that was inaccurate or incomplete.

The client agrees to raise a claim within a reasonable time after the client becomes aware of the matter, so that the company has a fair opportunity to investigate and to correct the issue. This section survives the end of the engagement.

Term and Termination

An engagement continues until it is completed or until either party ends it. Either party may end the engagement with reasonable written notice. If the client ends the engagement, the client remains responsible for the fees that are due for the work that has been performed and for any committed cost that the company has incurred on the behalf of the client.

The company may end an engagement at once if the client refuses to provide the information that is needed to perform the service, if the client asks the company to act unlawfully, if the client fails to pay an undisputed invoice after a reasonable opportunity to do so or if a conflict of interest arises that cannot be managed.

On the end of an engagement the company will return the client records that it holds, in a usable format, subject to the payment of any outstanding fees and to the retention duties that the law imposes on a bookkeeping practice. The provisions of these terms that by their nature should survive termination, including confidentiality, intellectual property, limitation of liability and governing law, continue to apply.

Governing Law and Disputes

These terms are governed by the laws of the State of Utah in the United States, without regard to conflict of law rules. The parties agree to attempt to resolve a dispute through good faith discussion before either party commences a formal proceeding. A party who wishes to raise a concern should contact the company using the details at the end of these terms and should describe the matter clearly.

If a dispute cannot be resolved through discussion, the parties agree that the dispute will be brought in a court of competent jurisdiction that sits in Utah, unless a mandatory rule of the client jurisdiction requires otherwise. Each party consents to the exercise of jurisdiction by such a court.

If any provision of these terms is found to be unenforceable, that provision will be limited or removed to the smallest extent necessary, and the remaining provisions will continue in full force. The failure of the company to enforce a provision on one occasion is not a waiver of the right to enforce it on another occasion.

Changes to These Terms

The company may revise these Terms of Service from time to time to reflect a change in its services, in its practices or in applicable law. When a revision is made, the revised terms are posted on this page, and the effective date is reviewed so that visitors know which version is current.

A material change will be brought to the attention of affected clients through a notice on the website or a message to the contact address that the company holds. A client who continues to use the services after a revised version takes effect accepts the revision. A client who does not accept a revision may end the engagement as described in these terms.

These terms, together with the Privacy Policy and any written engagement summary, form the entire agreement between the company and the client about the services. They replace any earlier discussion or understanding on the same subject.
